Most Important Terms and Conditions

MITC — the essentials, before you engage me.

As required under SEBI's circular on Most Important Terms and Conditions for Investment Advisers (Feb 2025), here is a summary of the key terms governing my advisory relationship. The full MITC is also part of your signed advisory agreement.

  • I accept payment only towards advisory fees. I do not, at any point, accept or hold your funds or securities.
  • I do not assure returns of any kind. All advice is subject to market risk, with no guarantee that your objectives will be achieved.
  • Assured or fixed-return schemes are illegal — I will never offer one.
  • My advice covers securities and investment products regulated by SEBI. Where any non-SEBI-regulated product is discussed, I will disclose this specifically and seek your acknowledgment first.
  • I cannot execute any trade on your behalf. Every transaction requires your own explicit action — never authorise me to place orders for you.
  • Fee ceiling: up to ₹1,51,000 per annum per family of client under the Fixed Fee mode, or up to 2.5% per annum of Assets under Advice (AUA) — whichever mode applies to you, as set out in your agreement.
  • Advance fees, if collected, are capped at two quarters and require your consent. On early termination, any unused advance is refunded, net of a breakage fee capped at one quarter's fee.
  • Fees may be paid only by cheque, bank transfer, UPI, or the Centralised Fee Collection Mechanism (CeFCoM) — never in cash.
  • You're asked to share accurate, complete financial information so the advice given is genuinely suitable for you.
  • I carry out risk profiling before advising you, and again periodically, and will always share your assessed risk profile with you.
  • I do not combine advisory services with commission-based distribution for the same family of client.
  • SEBI registration, membership of BASL, and NISM certification do not guarantee my performance or your returns.
  • Please keep your contact details updated with me at all times.
  • I will never ask you for your trading account login, password, or OTP — never share these with me or anyone claiming to represent me.

  • Onboarding, agreement, and KYC completion.
  • Full disclosure of my business, affiliations, and compensation in the agreement.
  • I will never access your account or holdings directly to offer advice.

  • Advice is given strictly based on your risk-profiling and suitability — never generic.

D. Grievance redressal — how to access it

  • Approach me directly first — I aim to resolve any grievance immediately, and not later than 21 days of receipt (per SEBI's SCORES 2.0 timeline).
  • If unresolved, lodge a complaint on SEBI's SCORES portal (scores.sebi.gov.in), which tracks the complaint through to resolution.

F. What's expected of you as an investor

Do's

  • Always deal with a SEBI-registered adviser, and verify the registration number on SEBI's list of registered IAs.
  • Verify the validity of the registration certificate before engaging an adviser.
  • Pay advisory fees only through banking channels, with a signed receipt.
  • Insist on risk-profiling before accepting advice.
  • Assess the risk-return profile, liquidity, and safety of a product before investing.
  • Ask questions and clear doubts before acting on advice.
  • Get terms and conditions in writing, and read them carefully.
  • Be vigilant while carrying out transactions, and review statements/reports regularly.
  • Approach the appropriate authority for redressal if not satisfied — SCORES, then the ODR portal.
  • Inform SEBI if any adviser guarantees returns.
  • Be aware of your right to exit the advisory relationship as per the agreed terms.
  • Be aware of your right to seek clarification and guidance from your adviser.
  • Be aware of your right to give feedback on services received.

Don'ts

  • Don't fall for stock tips offered as "investment advice."
  • Never hand over funds to your Investment Adviser directly.
  • Don't act on promises of guaranteed or exorbitant returns.
  • Don't act on unsolicited calls, messages, or market rumours alone.
  • Never share your demat or trading account login credentials with an adviser.
  • Don't fall prey to luring advertisements or biased/false media articles.
  • Don't take investment decisions based only on repeated calls or messages from an entity.
  • Don't fall for limited-period discounts or free gifts offered to lure you into a decision.
  • Don't rush into an investment that doesn't match your risk appetite or financial goals.
Common questions

On trust and independence.

Do you manage or have access to my money?

No. I give advice; I never hold, move, or have access to your funds. Your investments stay in accounts in your own name, with the bank, broker, or fund house of your choice.

So if you never touch my money, how do I know you're not a scam?

Because I structurally can't be. SEBI's RIA framework prohibits advisers from taking custody of client funds or securities — that's precisely the safeguard. Any transactions happen directly between you and the platform (e.g. the mutual fund's own website or a registrar like CAMS/KFintech), never through me.

Are you affiliated with any bank, broker, or fund house?

No. I'm independent — not affiliated with any bank, mutual fund, insurer, or distributor — which is what allows the advice to be product-agnostic.

Can I trust you with my personal financial details?

Yes. As a SEBI-registered adviser, I'm bound by confidentiality and data-handling obligations under the IA Regulations, and your information is used only to build and manage your plan — never shared or sold. See my Privacy Policy for details.

Registration granted by SEBI, membership of BASL and certification from NISM in no way guarantee performance of the IA or provide any assurance of returns to investors. Investment in securities market are subject to market risks. Read all related documents carefully before investing.
